Mutual Confidentiality Agreement

Effective date: 1/1/1970

This Mutual Confidentiality Agreement (“Agreement”) is between PFaye Funding / Your Safe Space (YSS), as identified for the project (“Service Provider”) and [Client Name] (“Client”). The parties enter this Agreement for the limited purpose of evaluating or providing the following service or project: [Service or Project].

1. Purpose of this Agreement

The purpose is to help both parties protect private, nonpublic information they share for the service or project described above. “Confidential Information” means nonpublic business, nonprofit, program, funding, donor, client, financial, operational, technical or creative information that is identified as confidential or reasonably should be understood to be private, including original plans, drafts, strategies, records and systems.

2. How each party will protect information

Each party receiving Confidential Information agrees to use it only for the stated service or project, protect it with reasonable care, and share it only with people who need it for that purpose and are expected to keep it confidential. Neither party may publish, sell, copy for unrelated use, or disclose the other party’s Confidential Information without written permission, except as allowed below.

3. Information that is not covered

Confidential Information does not include information the receiving party can show was public through no breach of this Agreement, already lawfully known, independently developed without using the other party’s information, or lawfully received from someone who had the right to share it.

4. Required disclosure and return

If the receiving party is legally required to disclose protected information, it may do so only to the extent required and, when legally permitted, will give the other party reasonable notice. Upon written request, each party will return or delete the other party’s Confidential Information when practical, except copies kept for legal, compliance or routine backup purposes, which remain subject to this Agreement.

5. Ownership, term and limits

Each party keeps ownership of its own information. This Agreement does not transfer intellectual property or require either party to purchase or provide services. The confidentiality duties last for 2 years from the last disclosure; trade secrets remain protected as required by law. Any trade secret remains protected for as long as applicable law protects it.

6. General terms

This Agreement is the parties’ understanding about confidentiality for the stated project. Changes must be in writing and accepted by both parties. If one part is unenforceable, the remaining parts continue to apply. The parties may sign electronically and in counterparts.
